제1조 (목적 및 서비스 제공자)Article 1 (Purpose and Provider)

본 약관은 주식회사 베리티(이하 “회사”)가 제공하는 감사 워크플로우 소프트웨어 서비스(“AuditMind”, 이하 “서비스”)의 이용과 관련하여 회사와 이용 고객 간의 권리·의무 및 책임사항을 규정함을 목적으로 합니다. 본 서비스는 회계법인 및 감사인을 대상으로 하는 B2B SaaS 소프트웨어입니다.These Terms govern the rights, obligations and responsibilities between Verity Inc. (the “Company”) and customers regarding use of the audit workflow software service (“AuditMind”, the “Service”). The Service is B2B SaaS software for audit firms and auditors.

제2조 (서비스의 정의 및 한계)Article 2 (Definition and Scope of the Service)

서비스는 감사팀의 업무 흐름을 지원하는 소프트웨어입니다. 회사는 회계감사·감사증명·세무대리 등 자격 또는 인가가 필요한 용역을 제공하지 않으며, 감사계약을 수임하거나 감사의견을 발행하지 않습니다. 서비스가 생성하는 분석·제안·조서 및 보고서 결과물은 초안이며, 감사절차의 설계·수행·검토·결론 및 감사보고서 발행에 대한 전문적 판단과 책임은 전적으로 이용 고객(담당 회계법인 및 등록 공인회계사)에게 있습니다.The Service is software that supports the audit team's workflow. The Company does not provide services requiring a license or authorization, such as audit, assurance or tax-agency services, and does not accept audit engagements or issue audit opinions. Analyses, suggestions, workpapers and report outputs generated by the Service are drafts; professional judgment and responsibility for the design, performance, review and conclusions of audit procedures and for issuing the audit report rest entirely with the customer (the engaging CPA firm and registered certified public accountants).

제3조 (계정 및 이용)Article 3 (Accounts and Use)

고객은 계약 및 본 약관에 따라 계정을 발급받아 서비스를 이용합니다. 고객은 계정 정보의 보안을 유지할 책임이 있으며, 계정을 통해 발생한 활동에 대해 책임을 집니다.Customers receive accounts and use the Service under the contract and these Terms. Customers are responsible for maintaining the security of account credentials and for activities under their accounts.

서비스 및 관련 소프트웨어·콘텐츠에 대한 지식재산권은 회사에 귀속됩니다. 고객이 업로드한 자료 및 그로부터 생성된 고객 산출물에 대한 권리는 고객에게 있으며, 회사는 서비스 제공 및 계약 목적 범위 내에서만 이를 처리합니다.Intellectual property rights in the Service and related software and content belong to the Company. Rights to materials uploaded by the customer and customer outputs derived therefrom belong to the customer, and the Company processes them only within the scope of providing the Service and the contract.

제6조 (면책 및 AI 산출물)Article 6 (Disclaimer and AI Outputs)

AI가 생성하는 모든 결과물은 검토가 필요한 초안이며, 그 정확성·완전성·적합성에 대한 최종 확인과 판단은 이용 고객인 회계사가 수행합니다. 감사절차의 충분성·적합성, 결론, 감사의견 및 감사보고서에 대한 책임은 담당 공인회계사 및 회계법인에게 있습니다. 회사는 고객의 산출물 사용 또는 미사용으로 인한 결과에 대하여 책임을 지지 않습니다.All AI-generated outputs are drafts requiring review; final confirmation and judgment on their accuracy, completeness and suitability are performed by the customer's certified public accountant. Responsibility for the sufficiency and appropriateness of audit procedures, conclusions, audit opinions and audit reports rests with the engaging certified public accountant and audit firm. The Company is not liable for outcomes arising from the customer's use or non-use of outputs.

제7조 (책임의 제한)Article 7 (Limitation of Liability)

관련 법령이 허용하는 범위 내에서, 회사는 통상의 손해를 넘는 간접·특별·결과적 손해에 대하여 책임을 지지 않으며, 회사의 누적 책임은 개별 계약에서 정한 한도를 따릅니다. [책임 한도: 계약서 기준 확인 필요]To the extent permitted by applicable law, the Company is not liable for indirect, special or consequential damages beyond ordinary damages, and the Company's aggregate liability is subject to the cap set out in the individual contract. 제8조 (준거법 및 관할)Article 8 (Governing Law and Jurisdiction)

본 약관은 대한민국 법률에 따라 규율되며, 서비스 이용과 관련하여 분쟁이 발생할 경우 회사의 본점 소재지를 관할하는 법원을 제1심 관할법원으로 합니다. [관할법원: 본점 소재지 확정 필요]These Terms are governed by the laws of the Republic of Korea. Any dispute relating to use of the Service shall be subject to the court having jurisdiction over the location of the Company's head office as the court of first instance.
